To quickly get a company listed by acquiring other listed companies. Also known in Mandarin as “后门上市”.

由来
  • 规模较大的私人企业为了上市,可收购规模较小的、正在亏本的上市公司,或与之合并。
  • 私人公司收购了规模较小的上市公司,然后注入资金,进行重整后,便可快速获得上市的头衔。
  • 由于买壳上市是一个比较快速的上市方式,越过了普通上市途径的严格审核,因此不法分子可利用这个途径及上市头衔,进行一些不法行为。
ETYMOLOGY
  • To become publicly listed, a larger private company can acquire or merge with smaller listed companies that are making losses.
  • After a private company has acquired a smaller listed company, it injects capital and carries out restructuring so it can quickly attain the status of being listed.
  • Since a reverse takeover is a relatively quick method to become listed and bypasses the stringent evaluation required in the usual procedure of getting listed, criminals can make use of this method and the status of being listed to conduct illegal activities.
